SAG-AFTRA statement:

SAG-AFTRA National Board Resolution re: Paramount Skydance Acquisition of Warner Bros.

WHEREAS, no industry embodies American creativity, and exports it to the world, the way the film and television industry does, and the legacy studios of Hollywood, Warner Bros., Paramount, Universal, Sony Pictures, and Disney among them, remain the backbone of that industry and of the livelihoods of the SAG-AFTRA members who build it; and

WHEREAS, Warner Bros., founded in 1923 and in continuous operation for more than a century, stands among the most important of these studios, having employed generations of SAG-AFTRA members across film, television, news, and animation, and having helped establish the industry standards and infrastructure that benefit performers and media professionals to this day; and

WHEREAS, on February 27, 2026, Paramount Skydance Corporation and Warner Bros. Discovery, Inc. announced a definitive merger agreement under which Paramount would acquire Warner Bros. Discovery for approximately $110.9 billion in cash, or $31.00 per share; and

WHEREAS, this acquisition would combine two of Hollywood's five major theatrical film distributors, representing a combined share of approximately 27 percent of wide release theatrical distribution, and two of the nation's principal owners of basic cable television channels, eliminating a competitor that has historically driven job creation and creative investment in this industry; and

WHEREAS, on July 13, 2026, a coalition of attorneys general from twelve states, California, New York, Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, Oregon, and Washington, led by California Attorney General Rob Bonta, filed suit in the United States District Court for the Northern District of California to block this transaction under Section 7 of the Clayton Act, and on July 20, 2026, secured a temporary restraining order halting the merger pending further judicial review; and

WHEREAS, the Writers Guild of America and the International Brotherhood of Teamsters, representing thousands of workers alongside SAG-AFTRA members throughout this industry, have separately raised serious concerns about this transaction, with the WGA initiating their own litigation challenging the transaction, and the Teamsters formally urging federal regulators to withhold approval absent enforceable safeguards that increase, rather than diminish, domestic production; and

WHEREAS, the European Commission conditioned its own approval of this transaction on Paramount's binding commitment to exit its joint distribution venture with Universal Pictures, confirming that legally enforceable commitments are a recognized and workable tool for addressing the harms this transaction threatens to cause; and

WHEREAS, since closing its own merger with Skydance Media in August 2025, Paramount has reduced its workforce by approximately 10 percent, eliminating roughly 2,000 positions across its television, film, streaming and news divisions, and has announced a target of up to $6 billion in additional cost reductions tied specifically to this transaction, a record that has cost many SAG-AFTRA members their jobs, and that gives SAG-AFTRA well-founded reason for concern that Warner Bros. could be pressed toward similar reductions in the absence of enforceable safeguards; and

WHEREAS, SAG-AFTRA has consistently advocated for public policy that keeps American film and television production in America, including through its sponsorship of AFL-CIO 2026 Convention Resolution 28 calling for federal tax incentives to strengthen domestic production, and any approval of this transaction must be measured against that same commitment; and

WHEREAS, the strength of American storytelling is not an abstraction. It is built job by job and production by production, on soundstages and locations, in newsrooms and recording studios across this country;

NOW, THEREFORE, BE IT RESOLVED, that SAG-AFTRA affirms the essential and irreplaceable role that Warner Bros., Paramount, and each of the legacy studios play in sustaining the strength of the United States entertainment industry and the livelihoods of SAG-AFTRA's approximately 160,000 members; and

BE IT FURTHER RESOLVED, that SAG-AFTRA expresses its serious and continuing concern regarding the impact that the proposed acquisition of Warner Bros. Discovery by Paramount Skydance would have on competition, on production levels, especially within the USA, and on employment opportunities for SAG-AFTRA members and their fellow entertainment workers; and

BE IT FURTHER RESOLVED, that SAG-AFTRA expresses its strong support for the efforts of California Attorney General Rob Bonta, New York Attorney General Letitia James, and the attorneys general of Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, Oregon, and Washington in pursuing litigation to scrutinize, and where warranted, limit this transaction; and

BE IT FURTHER RESOLVED, that SAG-AFTRA expresses its appreciation and support for, and solidarity with, the Writers Guild of America for pursuing a refined legal strategy, in its case, relating specifically to the craft of writing, and in the interests of its members; and

BE IT FURTHER RESOLVED, that SAG-AFTRA declares that this acquisition cannot and must not proceed unless legally binding and enforceable assurances are delivered, not voluntary commitments or aspirational statements, that assure that production levels at Warner Bros. and Paramount, including the employment of journalists by their news-related entities, will not be decreased or otherwise compromised as a result of this transaction, and that assure this acquisition will result in a net increase, rather than a decrease, in the percentage of production carried out in the United States; and

BE IT FINALLY RESOLVED, that SAG-AFTRA notes with concern Paramount's recent record on domestic production and employment, and calls on regulators, legislators, and the parties themselves to recognize that this record warrants heightened scrutiny, particularly given the risk that Warner Bros. could be pressed toward similar reductions should this acquisition proceed without such assurances.
